Terms of Service

These Terms of Service ("Terms") govern your access to and use of meridianfin.io and related services (collectively, the "Service") operated by TokenNova PTE. LTD. ("Meridian," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Service Description

Meridian is a financial data and market intelligence platform. The Service aggregates publicly available data from sources including, but not limited to, U.S. congressional trading disclosures, SEC insider-transaction filings, institutional 13F holdings, dark pool print data, activist filings (13D/G), short-interest reports, government contract awards, lobbying disclosures, on-chain cryptocurrency transaction data, crypto exchange flows, and derivatives funding rates.

The Service provides a web dashboard, a developer REST API, and Model Context Protocol (MCP) tools for programmatic access to this data. All data originates from public sources and is provided for informational and research purposes only.

The Meridian web platform is currently offered at no charge. Certain developer REST API endpoints are gated by usage-based micropayments using the x402 protocol; where that applies, the price per request is presented programmatically before any charge is incurred. We may introduce additional paid tiers or features in the future; if and when we do, we will provide advance notice and updated Terms.

3. Data Accuracy and Disclaimers

All data on Meridian is sourced from publicly available third-party sources. We make reasonable efforts to ensure accuracy and timeliness, but we provide the Service "as is" and "as available," without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

• Data may be delayed, incomplete, or contain errors.
• Public filings and disclosures carry their own inaccuracies from the original filers.
• On-chain data is subject to reorgs, labelling errors, and interpretation uncertainty.
• Market signals reflect historical observations and do not predict future price movements.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

4. Acceptable Use

You agree not to:

• Reproduce, resell, or redistribute Meridian data commercially without our written consent.
• Use automated tools to scrape, harvest, or bulk-download data in ways that circumvent API rate limits or degrade service for other users.
• Attempt to reverse-engineer, decompile, or exploit the Service or its underlying infrastructure.
• Use the Service to violate any applicable law or regulation, including securities law.
• Impersonate any person or entity, or provide false information when registering.
• Transmit malware, viruses, or other harmful code.

We reserve the right to suspend or terminate access for any user who violates these Terms.

5. Account Registration

You must create an account to access most features. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

You must be at least 13 years old to create an account. By registering, you represent that you meet this requirement.

6. Account Termination

You may stop using the Service at any time. To request deletion of your account and associated data, contact us at [email protected].

We reserve the right to suspend or terminate your account, with or without notice, if we determine you have violated these Terms or if we discontinue the Service. We will not be liable for any consequences of termination.

7. Intellectual Property

The underlying data displayed on Meridian originates from public sources and is not our proprietary content. However, the platform software, design, compiled datasets, scoring models, and all associated intellectual property are owned by Meridian or its licensors. Nothing in these Terms grants you ownership of any Meridian intellectual property.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Meridian and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service — including but not limited to loss of profits, investment losses, loss of data, or business interruption — even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) US $100.

Some jurisdictions do not allow exclusions of certain warranties or limitations of liability, so the above may not apply to you in full.

9. Indemnification

You agree to indemnify and hold harmless Meridian and its affiliates from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Third-Party Links and Content

The Service may contain links to third-party websites or reference external data sources. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party sites. Visiting them is at your own risk.

11. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will provide reasonable advance notice.

12. Governing Law and Disputes

These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of Singapore.
